Terms of Service

Effective date: 21 September 2026

These Terms of Service govern the relationship between Coreline Commerce, the trading name of K2026801063 (Pty) Ltd, a South African registered business entity directed by Ndinani Mbeki, and customers who purchase or use Coreline Commerce's services.

By requesting, purchasing or using a Coreline Commerce service, you acknowledge that you have had an opportunity to review these Terms of Service and the policies referenced in them.

These Terms apply together with any quotation, service description, written scope, project agreement or other terms specifically agreed with the customer.

Nothing in these Terms is intended to exclude or limit any right or protection that cannot lawfully be excluded or limited under applicable law.

1. About Coreline Commerce

Coreline Commerce is the trading name of K2026801063 (Pty) Ltd, a South African registered business entity directed by Ndinani Mbeki.

Coreline Commerce provides practical digital business, e-commerce, website, creative and marketing implementation services to businesses and other customers.

References to Coreline Commerce in these Terms refer to the business operating under this trading name, rather than a separate legal entity.

2. Current Services

Coreline Commerce currently offers the following once-off services:

Starter Store Setup — R9,999

A practical starter-store setup service covering the agreed Shopify configuration, storefront implementation and related setup work described in the applicable service scope.

Store Optimisation — R6,999

A store review and optimisation service covering relevant areas such as navigation, collections, product presentation, theme and layout, mobile presentation, catalogue structure and basic conversion experience within the agreed scope.

Creative & Growth Support — R4,999

A creative and promotional implementation service that may include creative production, promotional graphics, advertising creative, copy and basic Meta or TikTok implementation within the agreed scope.

Digital Business Setup — R2,999

A practical digital-business implementation service covering the specific setup work described in the applicable service scope.

The exact deliverables, exclusions and requirements for a particular purchase are determined by the applicable service description, quotation, written scope or project agreement.

3. Once-Off Services

Coreline Commerce currently provides services on a once-off basis.

The services do not automatically create a subscription, recurring retainer or ongoing management arrangement.

Any continuing service or additional work must be separately agreed and may require a new quotation or agreement.

4. Pricing

The current standard service prices are:

Service Price
Starter Store Setup R9,999
Store Optimisation R6,999
Creative & Growth Support R4,999
Digital Business Setup R2,999

The applicable price for a particular purchase will be communicated to the customer before the transaction is concluded.

Where additional work falls outside the agreed scope, Coreline Commerce may provide a separate quotation.

5. Payment

Unless otherwise agreed in writing:

  • 50% of the applicable service price is due before work begins; and

  • the remaining 50% is due before final delivery or handover.

Work will generally commence once the required deposit has been received and the necessary onboarding information, materials and access have been provided.

Coreline Commerce may use an online payment provider for payments.

Paystack is the intended payment provider but has not yet been confirmed as the final payment provider.

Payment transactions may therefore be subject to the terms and processing requirements of the payment provider actually used.

6. Project Commencement

Payment of the required deposit does not necessarily mean that work can begin immediately.

Coreline Commerce may require information, content, account access, approvals or other materials before commencing substantive work.

A project is considered ready to begin when the required payment and reasonably necessary customer dependencies have been received.

7. Customer Responsibilities

Customers are responsible for providing accurate and timely information, materials, access and decisions reasonably required for their project.

Depending on the service, this may include:

  • Business information.

  • Product or service information.

  • Branding materials.

  • Logos and images.

  • Website content.

  • Product data.

  • Shopify or other platform access.

  • Domain information.

  • Advertising-platform access.

  • Approvals.

  • Feedback.

  • Other information reasonably required for the agreed work.

Customers are responsible for ensuring that information and materials supplied to Coreline Commerce are accurate and that they have the necessary rights to provide and use those materials.

8. Account Access

Some services require Coreline Commerce to access third-party platforms on the customer's behalf.

Where a platform supports it, Coreline Commerce will seek to use appropriate collaborator, staff, delegated or other limited access rather than requiring the customer's primary password.

Customers remain responsible for the security of their own accounts and credentials.

Coreline Commerce is not responsible for security incidents resulting solely from compromised customer credentials, customer misuse or circumstances outside Coreline Commerce's reasonable control, subject to applicable law.

9. Scope of Work

Coreline Commerce will perform the services described in the agreed scope.

A service does not automatically include every possible feature, platform, integration or modification that a customer may later request.

Work outside the agreed scope may include, depending on the project:

  • Additional pages or features.

  • Substantial redesigns.

  • Additional products beyond the agreed allowance.

  • Advanced custom development.

  • Specialist integrations.

  • Additional advertising or campaign work.

  • Advanced SEO.

  • Custom software development.

  • Cybersecurity services.

  • Professional photography or videography.

  • Specialist technical work.

  • Other services not included in the agreed scope.

Out-of-scope work may be separately quoted.

10. Revisions

Each service includes one revision round.

A revision round means one consolidated set of reasonable changes relating to the agreed scope and the work delivered.

The revision allowance does not provide unlimited revisions.

Requests for additional revision rounds or substantial changes outside the original scope may require an additional quotation.

11. Delivery

Coreline Commerce provides digital services and normally delivers work electronically.

Depending on the service, delivery may include:

  • Website or Shopify implementation.

  • Digital files.

  • Creative assets.

  • Content implementation.

  • Configuration.

  • Optimisation.

  • Research.

  • Marketing implementation.

  • Documentation.

  • Access arrangements.

  • Other agreed digital deliverables.

Customers will not normally receive physical products or courier deliveries.

The detailed rules concerning delivery are set out in the Delivery Policy and, where applicable, the Delivery Timeline Policy.

12. Customer-Caused Delays

Project timelines may be affected when Coreline Commerce is waiting for:

  • Information.

  • Content.

  • Account access.

  • Approvals.

  • Feedback.

  • Files.

  • Payment.

  • Other customer action reasonably required to continue the project.

Where such a delay affects delivery, the expected completion date may move accordingly.

13. Third-Party Platforms

Coreline Commerce may rely on third-party platforms and services, including:

  • Shopify.

  • Payment providers.

  • Domain providers.

  • Google services.

  • Meta.

  • TikTok.

  • Canva.

  • WhatsApp.

  • Email services.

  • Other platforms relevant to a particular project.

Third-party platforms are independently operated.

Coreline Commerce does not control their availability, technical performance, policies, pricing, security, account-verification requirements, features or future changes.

Where a third-party issue affects a project, Coreline Commerce will take reasonable steps to continue the work or identify an available alternative where appropriate.

14. Business Results

Coreline Commerce provides implementation and support services.

Unless expressly stated otherwise in a written agreement, Coreline Commerce does not guarantee specific commercial results from its services.

This includes, without limitation:

  • A specific number of sales.

  • Revenue.

  • Profit.

  • Advertising return.

  • Conversion rate.

  • Website traffic.

  • Number of customers.

  • Social-media growth.

  • Search-engine ranking.

  • Other commercial performance metrics.

A customer's commercial results may depend on factors outside Coreline Commerce's control, including market conditions, pricing, products, competition, advertising budgets, customer demand, platform algorithms and the customer's own business operations.

This does not limit any rights a customer may have where Coreline Commerce fails to provide the agreed service.

15. Advertising and Marketing Services

Where Creative & Growth Support or another service includes advertising or marketing implementation, Coreline Commerce may assist with campaign setup, creative, copy or platform configuration within the agreed scope.

Advertising spend paid to Meta, TikTok or another advertising platform is separate from Coreline Commerce's service fee unless expressly stated otherwise.

Coreline Commerce does not guarantee advertising performance or a particular return on advertising spend.

Customers remain responsible for approving advertising budgets, business claims, offers and other commercial information supplied for campaigns.

16. Intellectual Property

Unless otherwise agreed in writing, each party retains ownership of intellectual property it owned before a project began.

Customer-provided materials remain the customer's property, subject to any third-party rights.

Coreline Commerce retains ownership of its pre-existing methods, know-how, templates, processes, general techniques and reusable business materials.

Where Coreline Commerce creates project-specific deliverables for the customer, the customer's rights to use those deliverables will be determined by the applicable agreement and, where relevant, payment of the agreed project fees.

Unless otherwise agreed, Coreline Commerce will not represent that third-party assets, software, fonts, images, templates, platform features or other third-party materials are owned by Coreline Commerce.

Third-party materials remain subject to their respective licences and terms.

17. Customer Materials and Permissions

Customers grant Coreline Commerce permission to use customer-provided materials to the extent reasonably necessary to perform the agreed service.

Customers are responsible for ensuring that they have the necessary rights, licences and permissions for materials they provide.

Customers should not provide Coreline Commerce with materials that they are not legally entitled to use or authorise Coreline Commerce to use.

18. Portfolio and Promotional Use

Coreline Commerce may wish to display completed work as examples of its services.

Unless otherwise agreed in writing, Coreline Commerce may identify completed work or display appropriate examples of completed work for portfolio, marketing or promotional purposes, subject to applicable confidentiality, privacy, intellectual-property and other legal restrictions.

If a project contains confidential or commercially sensitive information, customers may request that such information not be publicly displayed.

Any portfolio use remains subject to applicable law and the rights of third parties.

19. Confidentiality

Each party should treat genuinely confidential business information received from the other party as confidential and should use it only for the relevant business or project purpose, subject to information that:

  • Is already publicly available.

  • Becomes publicly available without a breach of confidentiality.

  • Was lawfully known before disclosure.

  • Is independently developed.

  • Must be disclosed by law or lawful authority.

Coreline Commerce may disclose information to relevant service providers where reasonably necessary to perform the agreed service, subject to applicable privacy and confidentiality requirements.

20. Privacy

Coreline Commerce processes personal information in accordance with applicable South African data-protection requirements.

The Coreline Commerce Privacy Policy explains the types of personal information that may be collected, the purposes for processing, third-party services, data-subject rights and related matters.

Customers should review the Privacy Policy before purchasing services.

21. Security

Coreline Commerce takes reasonable steps to protect customer and project information.

However, no online service, third-party platform or electronic communication method can be guaranteed to be completely secure.

The Coreline Commerce Security Policy provides further information about access, account security, third-party services and security incidents.

22. Refunds

Refund requests are assessed case-by-case according to:

  • The stage of the project.

  • Work completed.

  • Agreed scope.

  • Deliverables provided.

  • Customer circumstances and dependencies.

  • Relevant third-party arrangements.

  • Applicable law.

The Coreline Commerce Refund Policy provides further information about the refund process.

Nothing in these Terms removes or limits a refund, cancellation or other remedy that a customer is legally entitled to receive.

23. Chargebacks

Customers are encouraged to contact Coreline Commerce before initiating a chargeback where reasonably possible so that a payment or service issue can be investigated.

Coreline Commerce may provide relevant transaction, communication, delivery and project records to a payment provider, bank or card network when responding to a payment dispute.

The Coreline Commerce Chargeback Policy provides further information.

Nothing in these Terms prevents a customer from exercising lawful rights available through their bank, payment provider or other dispute-resolution process.

24. Cancellation and Termination

A customer may request cancellation of a project by contacting Coreline Commerce.

Where work has already commenced, the consequences of cancellation, including any applicable refund, will be assessed according to the project stage, work completed, agreed scope and applicable law.

Coreline Commerce may terminate or suspend a project where, for example:

  • Required payment has not been made.

  • Required information or access has not been provided.

  • The customer materially breaches these Terms.

  • Continued work would require Coreline Commerce to perform work outside its capabilities.

  • The requested work would be unlawful or inappropriate.

  • Circumstances outside Coreline Commerce's reasonable control prevent continuation.

Termination does not remove rights or obligations that have already accrued.

25. Prohibited or Inappropriate Use

Customers must not knowingly use Coreline Commerce's services to facilitate unlawful activity, fraud, infringement of third-party rights, malicious activity or other conduct prohibited by applicable law.

Coreline Commerce may decline work that it reasonably believes would require unlawful conduct, infringement, deception, abuse of a third-party platform or work outside its stated capabilities.

26. Third-Party Accounts and Platforms

Customers remain responsible for complying with the terms, policies and requirements of platforms used in connection with their business.

This includes, where applicable:

  • Shopify.

  • Meta.

  • TikTok.

  • Google.

  • Domain providers.

  • Payment providers.

  • Email platforms.

  • Other third-party services.

Coreline Commerce may provide implementation assistance but does not transfer responsibility for compliance with those platforms' independent terms to itself.

27. Availability and Interruptions

Coreline Commerce will make reasonable efforts to perform agreed services.

However, temporary interruptions or delays may occur due to circumstances including:

  • Internet or telecommunications failures.

  • Third-party platform outages.

  • Account restrictions.

  • Payment-provider issues.

  • Domain or hosting problems.

  • Third-party service changes.

  • Security incidents.

  • Technical failures.

  • Other circumstances outside Coreline Commerce's reasonable control.

Nothing in these Terms requires Coreline Commerce to guarantee uninterrupted access to a third-party platform.

28. Limitation of Liability

Coreline Commerce will be responsible for its obligations under the applicable agreement and applicable law.

To the extent permitted by law, Coreline Commerce will not be responsible for losses caused solely by:

  • A customer's inaccurate or incomplete information.

  • Customer misuse of delivered work.

  • Compromised customer accounts.

  • Third-party platform failures.

  • Third-party policy changes.

  • Customer-selected products, pricing or business decisions.

  • Advertising-platform decisions.

  • Market conditions.

  • Other circumstances outside Coreline Commerce's reasonable control.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

In particular, these Terms do not exclude or limit liability that cannot lawfully be excluded or limited, including applicable statutory consumer protections.

29. No Professional Specialist Advice

Coreline Commerce provides practical digital-business implementation services.

Unless expressly agreed otherwise, its services do not constitute:

  • Legal advice.

  • Professional accounting advice.

  • Tax advice.

  • Financial advice.

  • Cybersecurity consulting.

  • Professional photography or videography.

  • Advanced software engineering.

  • Specialist IT consulting.

  • Other regulated or specialist professional services.

Customers should obtain appropriate professional advice where their circumstances require it.

30. Electronic Communications and Agreements

Coreline Commerce may communicate with customers electronically through email, website forms, WhatsApp and other appropriate digital channels.

Project instructions, quotations, approvals and other communications may be provided electronically.

Electronic transactions and communications are subject to applicable South African law, including the Electronic Communications and Transactions Act 25 of 2002.

Where applicable, customers will be provided with access to the terms governing their transaction.

31. Records

Coreline Commerce may retain appropriate records of:

  • Enquiries.

  • Quotations.

  • Purchases.

  • Payments.

  • Project communications.

  • Agreed scopes.

  • Deliverables.

  • Revisions.

  • Refunds.

  • Chargebacks.

  • Other project information reasonably required for business, legal, security or dispute-resolution purposes.

Records will be handled in accordance with the Privacy Policy and applicable law.

32. Consumer Rights

Nothing in these Terms is intended to remove, restrict or waive any consumer right or protection that cannot lawfully be excluded or limited.

The Consumer Protection Act 68 of 2008 establishes a framework for consumer protection and consumer transactions in South Africa.

Where mandatory legislation provides a customer with a right or remedy, that right or remedy continues to apply.

33. Dispute Resolution

Customers are encouraged to contact Coreline Commerce first if they have a complaint, payment issue, delivery issue or other concern.

Coreline Commerce will make reasonable efforts to understand and address genuine disputes directly.

Nothing in this section prevents a customer from using any statutory complaint, dispute-resolution, regulatory or other legal process available to them.

34. Governing Law

The relationship between Coreline Commerce and its customers is governed by the laws of the Republic of South Africa, subject to applicable mandatory rights and protections.

35. Changes to These Terms

Coreline Commerce may update these Terms when its services, pricing, payment arrangements, technology, business operations or legal requirements change.

The version published on the website represents the current general Terms of Service.

A customer's particular purchase may also be governed by the quotation, scope or written agreement applicable to that purchase.

Where a specific written agreement conflicts with these general Terms, the specific agreement may govern the relevant matter to the extent permitted by law.

36. Severability

If a provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the extent necessary to make it lawful where possible.

If it cannot be made lawful or enforceable, the affected provision will be severed to the extent necessary without automatically affecting the remaining provisions.

37. Entire Agreement

The applicable service description, quotation, agreed scope, these Terms and the policies expressly incorporated into the transaction together form the basis of the agreement between Coreline Commerce and the customer, subject to applicable law.

Nothing in this clause prevents rights or obligations that arise under mandatory legislation.
