These Terms & Conditions (“Terms”) govern the use of the Coreline Commerce website and the purchase and delivery of services provided under the Coreline Commerce trading name.

Coreline Commerce is the trading name of K2026801063 (Pty) Ltd, a registered South African business entity directed by Ndinani Mbeki.

By requesting, purchasing, or using a service provided by Coreline Commerce, you agree to these Terms together with any applicable quotation, project agreement, invoice, onboarding information, and the policies referred to below.

If you do not agree with these Terms, please do not purchase or use the services.

A digital-business setup service covering the agreed implementation of relevant digital business elements within Coreline Commerce's available capabilities and the agreed project scope.

Prices may be changed for future purchases. The price applicable to an order will be the price communicated and accepted at the time of purchase or quotation.

All services are once-off services unless a separate written agreement states otherwise.

3. Payment Terms

Unless otherwise agreed in writing:

  • 50% of the service price is payable before work begins.

  • The remaining 50% is payable before final delivery or handover.

  • Work will not normally begin until the required deposit has been received and the necessary onboarding information, materials, approvals, and access have been provided.

The payment provider used by Coreline Commerce may be Paystack or another payment provider selected by the business. Paystack is the intended payment provider at the time these Terms are drafted, but payment-provider arrangements may change.

Any payment-provider fees, transaction charges, currency-conversion charges, or similar costs imposed by a third party will be handled according to the applicable provider's terms unless expressly included in the quoted price.

4. Project Commencement

A project is considered ready to commence when:

  1. The required deposit has been received.

  2. The customer has completed the necessary onboarding.

  3. Required information and materials have been supplied.

  4. Required account access has been provided.

  5. The agreed project scope is sufficiently clear to begin implementation.

Coreline Commerce may request clarification before beginning work where information supplied by the customer is incomplete, inconsistent, or insufficient for the agreed service.

5. Customer Responsibilities

The customer is responsible for providing accurate and timely:

  • Business information.

  • Product or service information.

  • Pricing and catalogue information.

  • Branding and visual assets.

  • Website or store content.

  • Account access.

  • Approvals and decisions.

  • Legal or regulatory information applicable to the customer's own business.

  • Other information reasonably required to complete the agreed work.

The customer is responsible for ensuring that information, images, logos, text, products, claims, and other materials supplied to Coreline Commerce may lawfully be used.

Coreline Commerce is not responsible for delays caused by missing information, unavailable access, late approvals, inaccurate customer information, or other customer-controlled dependencies.

6. Account Access and Third-Party Platforms

Some services require access to third-party platforms, including Shopify, social-media platforms, Google services, Canva, WhatsApp, email systems, advertising platforms, or other tools.

Where reasonably possible, customers should provide delegated, collaborator, staff, or other appropriate access rather than sharing primary account passwords.

Customers remain responsible for:

  • Maintaining ownership of their accounts.

  • Maintaining account security.

  • Complying with the terms of third-party platforms.

  • Ensuring that Coreline Commerce has appropriate permission to perform the requested work.

  • Removing or changing access where appropriate after completion.

Coreline Commerce cannot guarantee the availability, functionality, policies, pricing, security, or continued operation of third-party platforms.

7. Scope of Work

Services are delivered according to the scope communicated for the selected service and, where applicable, the customer's quotation, project confirmation, invoice, onboarding information, or written agreement.

The service descriptions on the website describe the general nature of each service. They do not automatically mean that every possible feature or task is included.

Unless specifically agreed otherwise, Coreline Commerce does not provide:

  • Custom software or SaaS development.

  • Advanced Shopify app development.

  • Advanced SEO services.

  • Cybersecurity or penetration testing.

  • Cloud architecture.

  • Professional accounting or legal services.

  • Professional photography or videography.

  • Advanced data science or machine-learning services.

  • Enterprise IT services.

  • Specialist contractor services outside Coreline Commerce's stated capabilities.

Requests outside the agreed scope may require a separate quotation or agreement.

8. Revisions

Each service includes one revision round.

A revision round allows the customer to provide reasonable feedback on the delivered work within the agreed scope.

A revision does not include:

  • A completely new design direction.

  • Substantial changes to the original requirements.

  • Additional pages, products, systems, or functionality.

  • New services.

  • Work caused by information that was supplied incorrectly or changed after implementation.

  • Unlimited rounds of changes.

Additional work may be quoted separately.

9. Delivery

Coreline Commerce provides digital services and does not normally deliver physical products.

Delivery may take place through:

  • Shopify or another relevant platform.

  • Digital files.

  • Email.

  • Cloud storage.

  • Shared documents.

  • Account handover.

  • Another reasonable electronic method.

Initial delivery, the included revision round, and final handover form part of the project delivery process.

The remaining 50% balance must generally be paid before final delivery or handover.

Customer-caused delays, third-party platform issues, late approvals, unavailable account access, or circumstances outside Coreline Commerce's reasonable control may affect delivery timing.

The separate Delivery Policy and Delivery Timeline Policy, where applicable, form part of the customer's understanding of the delivery process.

10. Business Results and Performance

Coreline Commerce provides implementation, creative, digital-business, e-commerce, and marketing support.

Unless expressly agreed otherwise in writing, Coreline Commerce does not guarantee:

  • A particular level of sales.

  • Revenue.

  • Profit.

  • Advertising performance.

  • Return on advertising spend.

  • Website conversion rates.

  • Customer numbers.

  • Search-engine rankings.

  • Social-media growth.

  • Business growth.

  • Any other specific commercial outcome.

Results can depend on factors outside Coreline Commerce's control, including the customer's products, pricing, market, competition, advertising budget, customer behaviour, platform algorithms, seasonality, website traffic, fulfilment, and business operations.

For Creative & Growth Support, advertising implementation does not include advertising spend unless expressly stated otherwise, and campaign performance is not guaranteed.

11. Intellectual Property

Each party retains ownership of intellectual property that it owned before a project began.

Customer Materials

Materials supplied by the customer, including logos, photographs, product information, brand assets, written content, and other materials, remain the customer's property or the property of their respective rights holders.

The customer grants Coreline Commerce permission to use those materials only as reasonably necessary to perform the agreed services.

Coreline Commerce Materials

Coreline Commerce retains its pre-existing methods, processes, know-how, templates, frameworks, systems, working files, and general business knowledge.

Project Deliverables

Rights in project-specific deliverables will be determined by the agreed scope and any written agreement between the parties and, where applicable, the customer's payment of amounts due.

Where third-party materials, software, fonts, images, templates, applications, or other licensed assets are used, those materials remain subject to the relevant third-party licence terms.

Coreline Commerce does not transfer ownership of third-party intellectual property that it does not own.

12. Customer Materials and Permissions

The customer confirms that they have the necessary rights and permissions to provide materials to Coreline Commerce for use in the project.

The customer is responsible for claims arising from materials they provide where Coreline Commerce has reasonably relied on the customer's permission or representation that those materials may be used.

Coreline Commerce may decline to use material where there is a reasonable concern regarding legality, ownership, permission, safety, or compliance.

13. Portfolio and Promotional Use

Unless otherwise agreed in writing, Coreline Commerce may identify completed work or display appropriate examples of completed work for portfolio, promotional, or business-development purposes.

Any such use remains subject to applicable confidentiality, privacy, intellectual-property, contractual, and legal obligations.

A customer may request that particular confidential information or materials not be used for promotional purposes.

14. Confidentiality

Coreline Commerce will treat non-public customer business information received during a project as confidential and will not knowingly disclose it except where:

  • Disclosure is necessary to perform the agreed service.

  • The customer has authorised disclosure.

  • Disclosure is required by law.

  • Disclosure is necessary to protect legal rights or respond to a dispute.

  • The information has become publicly available through no breach of these Terms.

The customer should avoid providing information that is unnecessary for the performance of the service.

15. Privacy and Personal Information

Coreline Commerce may collect and process personal information necessary to operate the business, process orders, communicate with customers, deliver services, provide support, maintain records, address disputes, maintain security, and comply with applicable law.

Personal information is handled in accordance with the Privacy Policy.

Coreline Commerce may use third-party services in delivering its services, and personal information may therefore be processed by relevant service providers where necessary.

The Privacy Policy explains the categories of information that may be collected, purposes of processing, third-party services, retention, customer rights, and related privacy matters.

16. Cookies and Tracking Technologies

The Coreline Commerce website may use cookies and similar technologies for essential functionality, analytics, preferences, and marketing purposes where applicable.

Current technologies may include Shopify, Google Analytics, Shopify Analytics, Meta Pixel, and TikTok Pixel.

The Cookie Policy explains the current approach to cookies and tracking technologies.

The actual technologies used on the website may change as the website and its integrations are developed.

17. Refunds

Refund requests are handled according to the Refund Policy.

Refund decisions may take into account:

  • The stage of the project.

  • Work already completed.

  • The agreed scope.

  • Deliverables already provided.

  • The included revision round.

  • Customer-caused delays or changes.

  • Third-party arrangements.

  • Applicable law.

Nothing in these Terms removes or limits mandatory consumer rights that cannot lawfully be excluded.

18. Chargebacks and Payment Disputes

Customers are encouraged to contact Coreline Commerce at help.commercecoreline@outlook.com before initiating a payment dispute or chargeback where reasonably possible.

This allows Coreline Commerce an opportunity to investigate and resolve the issue.

Coreline Commerce may review and provide relevant transaction, communication, onboarding, project, delivery, revision, and payment records to a payment provider, financial institution, card network, or other authorised party when responding to a payment dispute.

Nothing in the Chargeback Policy prevents a customer from exercising a lawful right to dispute a transaction.

19. Cancellation and Termination

A customer may request cancellation of a project by contacting Coreline Commerce in writing.

Where work has already started, cancellation does not automatically mean that all amounts paid will be refundable.

Coreline Commerce may consider the project stage, work completed, commitments already made, third-party costs, and applicable law when handling a cancellation or refund request.

Coreline Commerce may suspend or terminate services where a customer:

  • Fails to make required payments.

  • Repeatedly fails to provide necessary information or access.

  • Requests unlawful or inappropriate work.

  • Materially breaches these Terms.

  • Creates circumstances that make reasonable completion of the project impractical.

Any termination or cancellation remains subject to applicable consumer rights and other mandatory legal requirements.

20. Prohibited or Unlawful Use

Customers may not use Coreline Commerce's services to facilitate unlawful, fraudulent, deceptive, abusive, or otherwise prohibited activities.

Coreline Commerce may refuse or discontinue work where the requested use presents a reasonable legal, ethical, security, or safety concern.

21. Third-Party Services

Coreline Commerce may assist customers with third-party platforms and services, including Shopify, Google services, Meta, TikTok, Canva, WhatsApp, email services, payment providers, and other relevant tools.

The customer acknowledges that these third parties have their own:

  • Terms and conditions.

  • Privacy policies.

  • Pricing.

  • Technical requirements.

  • Security practices.

  • Service availability.

Coreline Commerce is not responsible for changes, outages, account restrictions, policy changes, technical failures, pricing changes, or other actions of third-party providers.

22. Availability and Interruptions

Coreline Commerce will make reasonable efforts to perform agreed services, but cannot guarantee uninterrupted availability of its website, communications, third-party platforms, or other digital systems.

Services may occasionally be affected by:

  • Technical problems.

  • Internet or hosting issues.

  • Third-party platform outages.

  • Maintenance.

  • Account restrictions.

  • Cybersecurity incidents.

  • Power or connectivity problems.

  • Supplier or service-provider failures.

  • Circumstances outside Coreline Commerce's reasonable control.

23. Limitation of Liability

To the extent permitted by applicable law, Coreline Commerce will not be responsible for indirect, incidental, consequential, or unforeseeable losses arising from a service, third-party platform, business decision, or use of a completed deliverable.

Coreline Commerce is not responsible for losses resulting from information, instructions, materials, access, permissions, or approvals supplied incorrectly or incompletely by the customer.

Coreline Commerce is also not responsible for losses arising from third-party platforms or services that are outside Coreline Commerce's reasonable control.

Nothing in these Terms excludes or limits liability or consumer rights where such exclusion or limitation is not permitted by applicable South African law.

24. No Specialist Professional Advice

Coreline Commerce provides digital implementation and business-support services.

Unless expressly agreed otherwise, its services do not constitute professional:

  • Legal advice.

  • Accounting advice.

  • Tax advice.

  • Financial advice.

  • Investment advice.

  • Regulated compliance advice.

  • Cybersecurity or penetration-testing services.

  • Professional photography or videography.

  • Advanced software engineering.

  • Specialist professional services.

Customers should obtain appropriate professional advice where their circumstances require it.

25. Electronic Communications and Agreements

Coreline Commerce may communicate with customers electronically through email, website forms, messaging services, project-management tools, or other agreed digital channels.

Electronic communications and electronic agreements may be used in accordance with applicable South African law, including the Electronic Communications and Transactions Act 25 of 2002.

The customer is responsible for ensuring that the contact information they provide is accurate and monitored.

26. Business Records

Coreline Commerce may retain appropriate records relating to enquiries, quotations, orders, payments, communications, onboarding, project work, revisions, delivery, refunds, disputes, and other business transactions.

Records may be retained for legitimate business, contractual, accounting, security, dispute-resolution, or legal purposes, subject to applicable privacy and data-protection requirements.

27. Consumer Rights

Nothing in these Terms is intended to remove, restrict, or waive any consumer right or protection that applies under South African law.

The Consumer Protection Act 68 of 2008 establishes a framework for consumer protection and fair consumer transactions in South Africa.

Where a provision of these Terms conflicts with a mandatory legal requirement, the mandatory legal requirement will apply to the extent of the conflict.

28. Dispute Resolution

If a customer has a concern regarding a service, payment, delivery, refund, or other matter, the customer should first contact:

Email: help.commercecoreline@outlook.com

Coreline Commerce will review the matter and attempt to resolve it reasonably.

This does not prevent a customer from exercising any statutory right, complaint mechanism, dispute-resolution process, or other remedy available under applicable law.

29. Governing Law

These Terms and the relationship between Coreline Commerce and its customers are governed by the laws of the Republic of South Africa, subject to applicable mandatory rights and protections.

30. Changes to These Terms

Coreline Commerce may update these Terms from time to time to reflect changes to its services, business practices, technology, legal requirements, or policies.

The version applicable to a particular purchase will generally be the version communicated or made available at the time of that purchase, subject to any mandatory legal requirements.

The effective date shown at the beginning of these Terms indicates the current version.

31. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the extent necessary, and the remaining provisions will continue to apply to the extent permitted by law.

32. Entire Agreement

These Terms, together with any applicable quotation, invoice, project confirmation, written agreement, and referenced policies, form the basis of the agreement between Coreline Commerce and the customer for the relevant service.

Where a specific written project agreement expressly differs from these general Terms, the specific agreement will apply to the extent of the inconsistency.

33. Related Policies

Customers should also review the following Coreline Commerce policies:

  • Privacy Policy.

  • Cookie Policy.

  • Refund Policy.

  • Chargeback Policy.

  • Delivery Policy.

  • Delivery Timeline Policy.

  • Security Policy.

These policies are intended to operate alongside these Terms.
